This document grants no rights until the applicable fee has been paid through an authorized sales channel and the Licensee has received delivery of the Software.
- Definitions "Software" means this Nuxt + Sanity CMS starter for content-managed marketing websites and blogs, including all source code, schemas, components, scripts, and documentation in this repository, together with any updates the Licensee is entitled to receive under Section 9. "Licensee" means the individual or single legal entity that has purchased a valid license to the Software. "End Product" means a website or application built by the Licensee using the Software.
- What a License Includes The Software is offered as a single perpetual-use license, which grants:
- Use of the Software in an unlimited number of End Products, including client work delivered by the Licensee to third parties.
- Free updates to Software releases published within 12 months of the purchase date, and continued use of every version received during that period, without time limit (see Section 9). A license covers the Licensee as defined in Section 1, with no limit on the number of the Licensee's own developers who work with the Software.
- Grant of License Subject to payment of the applicable fee and to the restrictions below, the Licensee is granted a non-exclusive, non-transferable, worldwide license to use, modify, and incorporate the Software into End Products.
- Permitted Uses a. Modify the Software and create derivative works for use within End Products. b. Deploy End Products to production for the Licensee or the Licensee's clients.
- Restrictions The Licensee may NOT: a. Resell, redistribute, sublicense, or share the Software itself (modified or not) as a starter, template, boilerplate, or code product. b. Make the Software available in a public repository or any form that allows others to obtain the Software outside of a delivered End Product. c. Remove or alter copyright or proprietary notices.
- Ownership The Software is licensed, not sold. All title and intellectual property rights in the Software remain with the copyright holder.
- Warranty Disclaimer THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
- Limitation of Liability IN NO EVENT SHALL THE COPYRIGHT HOLDER BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
- Updates and Support a. The Licensee is entitled to all Software updates published within 12 months of the purchase date at no additional cost. This period is referred to below as the update window. b. A new major version (a release increasing the leading version number, e.g. 2.0.0) is not included in the update window and may be offered as a separate paid upgrade. All other releases published within the window are included. c. The update window may be extended by purchasing a renewal, offered at the copyright holder's discretion, which extends entitlement for a further 12 months from the date of renewal. The Licensee is under no obligation to renew. d. Versions received during an update window remain licensed for use in End Products indefinitely, whether or not the Licensee renews. Delivery access (for example, access to the source repository) may be withdrawn once an update window ends; this affects the delivery of future updates only, and never the Licensee's right to keep using and deploying versions already received. e. Support covers reasonable email guidance on using the Software as documented. It does not include custom development, migrations, or guaranteed response times.
- Refunds a. A refund may be requested within 14 days of purchase, provided the Licensee has not accessed the Software. Accessing means accepting the repository invitation, cloning or otherwise downloading the repository, or downloading a distributed archive of it. Repository access is logged, and that record determines eligibility. b. Refunds are issued to the original payment method. Once a refund is processed the license terminates and any remaining delivery access is removed. Funds typically appear within 5-10 business days, depending on the Licensee's bank. c. Because the Software is delivered digitally and in full at the point of access, no refund is offered once the Software has been accessed, or after the 14-day window has elapsed, whichever occurs first. d. Paragraph (c) does not affect problems with the purchase itself — a billing error, a duplicate charge, or a failure of delivery. Contact the copyright holder in those cases regardless of the window. e. Nothing in this Section limits any statutory right the Licensee may have under the consumer law of their jurisdiction. To request a refund, contact the copyright holder at the address below, from the email address used at checkout.
- Termination This license terminates automatically if the Licensee breaches any term. On termination the Licensee must cease use of the Software (End Products already deployed in production may continue to operate).
